Terms and Conditions of Service

 

1. Introduction

1.1 These General Terms and Conditions of Service (the “Terms”) govern the provision of services by Pixels and Puzzles Ltd (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms.

1.2 We reserve the right to amend these Terms from time to time. Any changes will be posted on our website and will become effective upon posting. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

2. Services

2.1 We offer a range of technology consulting services, including but not limited to:

  • Website design and management
  • CRM and marketing automation architecture
  • Email and domain setup
  • Learning management system administration
  • Digital strategy
  • Digital marketing services
  • Technical development

2.2 The specific services to be provided will be detailed in a separate agreement or statement of work (“SOW”) between you and us.

3. Fees and Payment

3.1 Fees for our services will be set out in the SOW or proposal provided to you.

3.2 Payment terms are net thirty (30) days from the date of invoice unless otherwise specified in the SOW.

3.3 Late payments may be subject to interest charges at the rate of 1.5% per month (18% per annum) or the highest rate permitted by law, whichever is lower.

3.4 You are responsible for all taxes, duties, and other governmental charges resulting from your use of our services.

4. Confidentiality

4.1 Each party agrees to keep confidential all information disclosed by the other party that is marked as confidential or that would reasonably be considered confidential under the circumstances.

4.2 Confidential information does not include information that is or becomes publicly available, is already in the receiving party’s possession, is obtained from a third party without breach of any obligation, or is independently developed.

5. Intellectual Property

5.1 All intellectual property rights in any materials created or provided by us in connection with the services remain the property of Pixels and Puzzles Ltd unless otherwise agreed in writing.

5.2 You are granted a non-exclusive, non-transferable license to use any deliverables provided as part of the services for your internal business purposes only.

6. Warranties and Disclaimers

6.1 We warrant that the services will be performed in a professional and workmanlike manner and in accordance with accepted industry standards.

6.2 Except as expressly provided in these Terms, the services are provided “as is” and we disclaim all other warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the services will be limited to the amount paid by you for the services in the six (6) months preceding the event giving rise to the claim.

7.2 In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenues, even if we have been advised of the possibility of such damages.

8. Termination

8.1 Either party may terminate the engagement for convenience upon thirty (30) days’ written notice to the other party.

8.2 Either party may terminate the engagement immediately if the other party breaches any material provision of these Terms and fails to cure such breach within ten (10) days’ written notice.

8.3 Upon termination, you will pay us for all services performed up to the effective date of termination.

9. Governing Law

9.1 These Terms will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

10. Dispute Resolution

10.1 Any disputes arising out of or relating to these Terms or the services will be resolved through good faith negotiations between the parties.

10.2 If the dispute cannot be resolved through negotiations, either party may submit the dispute to binding arbitration administered by [Arbitration Organization] in accordance with its rules.

11. Miscellaneous

11.1 These Terms constitute the entire agreement between you and us regarding the services and supersede all prior agreements and understandings, whether written or oral.

11.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.3 You may not assign these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, or sale of all or substantially all of our assets.

11.4 No waiver of any provision of these Terms will be effective unless in writing and signed by the party against whom the waiver is to be asserted. The failure of either party to enforce any provision of these Terms will not be construed as a waiver of such provision.
